Your better off putting it in the trunk unless you are limited on space... such as a Jeep. Its neater and easier to make adjusments in the trunk. This is just my own opinion. In the shop i use to work at, we mounted all in trunk unless there was limited space or it was a customer request.

I didn't know there was an air vent under the seats..
Hey yellowbrother...are you talking the Rockford Fosgate punch 800a4? It fit under your seat? That things huge! What do you have it running? I'm keeping my stock bose system and adding a 10"rfp1410 with a rf2.6x amp (120x1 rms)....I've got an eq.that i'll put in the storage compartment under the bose deck so I can adjust it/ turn it off etc.

I have an Alpine V12 amp underneath the passenger seat on my Max, as mentioned makes wiring front components much easier. However to really adjust the crossover, gains, etc on this unit I have to unbolt the seat! This is somewhat of a pain as I am constantly tweaking my system.
I also have two more Alpine amps bolted to the back of the rear passenger seat in the trunk for the rear speakers and subs. This realy cuts down on the wire runs (length and $$) which is a big bonus. I have these mounted so that the amp controls point inwards towards the pass thru. I can just drop the armrest and adjust these at will. Great for playing with the gain and crossover on my sub.
....
What type of amp is it? I'd suggest you run the amp for a good couple of hours of heavy playing before you finalize your decision of putting it under the seat. There's no problem in doing that if it's running at a good ohm load (ie, keeps cool).
If you're running a fosgate amp that's putting out a lot of power (ie, powering subs), then you're gonna be melting your seat. If you're powering the interiors with it, chances are it'll be fairly cool, and then mounting it under a seat is fine. Give it the burner test =) 3 hours, if you can still touch it and not burn yourself, then chuck it under the seat. Just make sure everythings good before you finish the install. You wouldn't want to remove the seat, bolt it down, replace the seat, then find out somethings not working hehe.

good spot
i have a good spot for u... i put it on the roof of my trunk, like where the factory speaker magnets are...its a well hidden spot which is not visible when the trunnk is open...it took a while t get it up there and still get the trunik to clse but its worth it for security and aesthetics
