will a cat back from a 99 max fit on an 02?

just wanted to see if anyone did this? does it need a lot of modifying? or is it just not worth it? the reason this even comes up is that a friend of mine just bought a 99 max as a daily driver/beater and it has a greddy exhaust that is pretty nice, its docile and quiet at cruising speed, not that far from stock and then it has a nice rumble at WOT... he wants to straight trade for my stock 02 but i doubt it will fit... any ideas? thanks in advance
on a side note, what cat-backs do you guys recommend that sound fairly stock but open up nicely?

no it won't be a direct replacement. You can cut the flange of and make it fit though.
