Upholstery cleaner or warm water and extractor shampoo with a rag will work, and then it would probably be wise to vacuum it. I'd recommend using an extractor though, I think that is the best way to thoroughly, evenly and effectively clean the headliner.
I avoid getting mine too wet. It can cause adhesive underneath it to loosen. A damp cloth with a mild cleaner works well for me (I like Woolite and water, mixed 1 part Woolite to 6 parts water. Gentle, yet very effective cleaning for all fabrics/vinyl).
Also keep in mind that you have to clean it evenly. If not, you'll leave water spots on it. And be gentle with the fabric while vacuuming, it is pretty delicate.
If it is really nasty, an extractor (if you're lucky enough to have one) or a steam cleaner could be used. Just go slow, gentle, and avoid drenching it.

I use Windex and a rag to clean mine. Just mist it onto the headliner, wait a few seconds and then wipe it with the rag. It pulled 2 years worth of nicotine stains out of mine and looks like new. I got the tip off of a detailing site, and it does work good. Try it.

I once heard of a dry clean product that works well on headliners. I need to do some research on it.
Normally, I'd take a towel and lightly spritz some carpet cleaner on it and then scrub the headliner.
