quiet muffler
My muffler in my 97 max is rusted out pretty good and I'm going to drop in the 3.5 soon. I want to put some headers and maybe a catback on it as well. Which muffler would be quiet, but also flow well? (need to appease the GF) Should I use another stock muffler?
cattman's catback. quietly deep and refined accoustics. i love mine. also, the piping diameter is 2.5 inches throughout with mandrel bents (best flow bendings). for your 3.5 swap, this catback should bode well for your needs and sounds. it'll kill a few more bucks, but for the quality, i think it's worth it.

I had the Warpspeed "Q-catback" (Q is for quiet) on my car until recently. It was louder than stock, but not like most aftermarket mufflers. While it was obvious to most people riding in the car that you had an aftermarket muffler, it was about half the volume of any straight-through muffler I've ever heard. Those are VERY loud, with few exceptions (I'm not talking about idle volume - I'm talking about at 3000-6000 rpm).
If I had to describe it, I would say it had a deep, burbly tone. It was a compromise: you got a throaty groan, instead the roar you get with straighthroughs. I loved the sound at first, especially the low growl it gave at startup. But after about a year I got tired of it and just recently put a stock-type muffler back on.
Oh yeah, to facilitate excellent air-flow, yet keep it quiet, it has kind of a "fat-boy" design. It's not "flat" like the stock muffler, which tucks under the car in such a way that you don't really see anything but the tip. It's more round, so you see the "body" a bit from the rear of the car.
If you are interested in trying it out, I'd sell you my 1-year old "Q-muffler" for a cheap price ($30 + ground mail shipping? Warpspeed charges $125 new). It has a 3" rolled chrome tip on it. Condition is good, but it does have rust on the metal hangers and at the weld where the tip is attached. I guess the metal in the hangers and the welds is just normal steel, instead of aluminized. But it's built like a tank and should last 5-10 more years depending on where you live.
If you really want to keep your ride fully "quiet" though, I suggest staying stock or going 5th gen stock! High-flow and quiet do not go together. You have to compromise a little of one to get the other!

I fail to see how slightly larger, mandrel-bent piping in a catback w/ a resonator that flows better would be much louder than stock. I think I'm going to get a WS y-pipe and b-pipe and use the 5th gen muffler. That shouldn't be much louder, if at all, than stock right?

I have the WSP b-pipe with resonator. The diameter of the b-pipe DEFINITELY makes your exhaust louder. It's not question, it's absolute fact.
If you use a stock or 5th gen muffler, your car will still be pretty quiet, but definitley louder than with a stock-size b-pipe. If you put on an aftermarket muffler with the 2.5" b-pipe, you will get a lot more sound amplification still.
Summing up: Yes, even your stock muffler will get somewhat louder.
This is probably common sense, but, after a 3.5 drop, wouldn't a catback provide much more gains since your flow would be held back even more when you are displacing that extra .5 liters?

get a cherrybomb turbo 2 muffler. i have one, it sounds great, is very quiet in the car, and is really cheap. $18.99. it doesnt come with a tip, but i like that more because then you can choose. it was a great buy, much better than the straight through design muffler i had on previously.

Its a Borla Pro XS (#40358) with a 2.5" inlet and a 2.5" outlet. I got it off of Wicked Nicky's exhaust on Ebay. The tip cost extra though ($59). Its a universal muffler so they had to do some welding to fit it on my stock bpipe. I was pretty happy with the service at Wicked Nicky's and it came in quickly.
Here's a pic (I need to get a couple of better shots):

thats a good dang price for the muffler, the tip is outrageous though. Usually i source them with the toucan industries tips. Mine had the black chrome oval. they include them with the muffler if you choose them together. Personally if he does that volume and gets that pricing i would go with Wicked Nickys and source the tip elsewhere.
I also have to say that warranty wise borla is pretty strong. I had mine on the car in the clip i sent you for two va winters, no problems (Rust,Blown Baffles, Body welds breaking) and no note changing as it got older.
