Just for Clarification...Only P0139 Code 2002 w/3.5

I have only the P0139 code coming up, it stays on for a couple of weeks and then goes away. Eventually it comes back. Gas mileage has stayed the same but this has been going on and off for about 6 months. Every now and then I will clear the code and sometimes it stays gone for a few weeks, sometimes it comes back in 2 days. Is it time to just replace the Right(rear)downstream(after) O2 sensor? Just wanted to get some thoughts on this. Thanks.

Also found the part here for 70 plus change(3rd one down)....let me know if I have the right sensor and if this is it!
