How tall are you? I find the 5th gen to be the best for headroom (even better than the '04). But if you get a sunroof it will really reduce the clrearance for your noggin. Im 6'5 and 5th gen gives me 1-2" above my head. With roof, its only about 1/2".
It seems like my 4th gen (97) without a sunroof has a ton more head room than my parents 2k2 with a sunroof. I'm about 6'4" and my head can touch the ceiling in the said 5th gen if I sit up straight, where as in my car, I dont even come close. I dont even need the seat all the way back.

Bad_Daddy, I'm 6'3" and like to drive sitting nearly straight up. I have a 2k2 and my seat isn't all the way back, the back is close to vertical (tilted back maybe 10 degrees), and I have room between my head and the ceiling and I have a sunroof.
You should have plenty of room but you should sit in one with and without a sunroof to see. I think I read somewhere in the nissan literature the sunroof takes away 2" of headroom clearance.
having driven both 3rd and 5th gens alot, the 3rd gen feels much more open inside, which is funny because the 5th gen feels like a 3rd gen with a bubble wrapped around it.
The 3rd gen has alot more leg room, but the 5th gen has more head room in rear. Both cars have sun roofs. The 3rd gen also has more room between the bottom of the steering wheel to the top of the seat. The 5th gen however seems to have a sportier feel to it, it seems like your in a one person cockpit, while the 3rd gen is more like a 1.5 person cockpit (if that makes sense).

Dunno about backaches, but I still get cramps from time to time in my right leg on my 4th gen...which wouldn't happen if it was an auto, for I'd put my foot down straight on the pedal rather than slanted for better pedal feel. And I'm 6'1", and have the seat all the way back (also, even with it all the way back, steering wheel tilted all the way up, I still run into my legs if I turn with my hands hitting about 7 and 5 o'clock).
Just some more things to ponder other than the back, if you're going to be looking for another manual tranny max. Ask dealerships for a weekend-long test drive and put it to use
edit: just saw you wanted an auto. Well, forget my musings

I'm 6' 2" 185lbs and I find the 4th gen fairly comfortable. Head room isn't an issue. I have fairly long legs and arms and my biggest gripe is with the relationship of the steering wheel to my inseam. In order for me to get my legs comfortable, I find that my arms become a bit too streched out for ultimate comfort. If this car had a telescoping steering wheel it could be ideal. It's pretty clear to me that the 3rd/4th gen Maximas were designed for people well under 6'. I also feel the lower seat cushion is a bit too short.
The most comfortable vehicles for me to drive are full size trucks and SUVs. That is by far the best driving position for me and my long legs. I rent a lot of Suburbans, Explorers, Trailblazers, Rams, F150s, etc for work and I find all of them very comfortable. Too bad I hate SUVs and trucks.
I'll have to drive a 2002+ Altima one of these days and see how it fits me. The car has a telescoping steering wheel and the seats look pretty comfy. I don't know how I'll deal with the cheapy interior though.

4th gens seem to have a little more room up front for us big guys. 6'3" here and formerly 300 lb but now 225 lb. I'm curious to see if I fit in the 5th gen now since dropping a ton of weight but I sorta doubt it.
