The ECM prevents engine operation above a preset rpm threshold. This is to protect the engine. It has nothing to do with gearshift position.

So my '97 SE 5spd has this? I could stand on the throttle and it would bounce off, what? 6700 rpm? btw I wouldn't do this, but was wondering if the engine was protected if I wasn't looking at the tach like in an on ramp situation.

Yes, they do.
When mine were bad you could only hear them when the car was in first, never in neutral- that's how I came to the realization that something was wrong with my tranny. What do they do different in neutral?

Mine can be heard in neutral and in first and follows engine rpm but goes away when the clutch is depressed

When the clutch is disengaged the rotating parts in the transmission slow down and then stop. A noisy bearing would become silent.

There are several bearings inside your Transaxle. The sounds and symptoms will vary somewhat, depending on which bearings are damaged.

Go to http://www.motorvate.ca/ and click on the 5-Speed Rebuild. There are some good pictures of failed bearings. Click on the thumbnails for an enlarged image.

Then from what your saying here it sounds like Tranny bearings may be an inaccurate diagnosis from the Dealer because the noise is still heard when the clutch is disengaged....hmm interesting

Second Opinion

Just got word from the tranny shop and they don't believe that the bearings in the tranny are bad, they think it's more of the throw out bearing. So we shall see..hopefully I don't have to pull it apart again
