It's not too hard if you can get those bolts off. I had to use a torch.

cat:
-jack up the car
-remove heat shield on the cat
-remove 4 14mm nuts that hold the cat - use some WD40 if you got stuck with them
-put a new one on
-apply antseize on the bolts
-torque spec 38 -48 lb/ft. more if you use antiseize.
-put heat shield back.
-start the car and check for exhaust leak.

ypipe
-jack-up the car
-remove the two O2 sensors on the stock ypipe with O2 sensor socket or a 22mm wrench.
-dont drop your O2 sensor
-remove all the nuts and bolts that hold the stock pipe. you will need 12" extension for the bolts on the rear exhast manifold. If you got stuck, WD40 is your friend.
-take off the stock ypipe and be careful with the O2 sensors
-you will also need to remove the black metal plate that holds the O2 sensor wire.
-remove exhaust gasket if they are still on the manifolds.
-apply anti-sezie on ALL bolts.
-install ypipe and use NEW exhuast gasket (this is a bish if you have cali spec pipes)
-put all the nuts and bolts back
-torque them down to 31 - 38 lb/ft. more if you use antiseize.
-put your O2 sensors back - use antiseize on the threads too. torque sepc 33 - 40 lb/ft.
-start the car and check for exhaust leak or engine code.
-test drive - zoom zoom

Cool thanks....just the rusted bolts giving me trouble now.

no problem.

spray some WD40 and let it soak for 10 - 15 minutes.
